This website is operated by Dibz Inc. Throughout the site, the terms “we”, “us” and “our” refer to Dibz Inc. Dibz Inc offers this website, including all information, tools and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies and notices stated here.
By visiting our site or exchanging something through us, you engage in our “Service” and agree to be bound by the following terms and conditions (“Terms of Service”, “Terms”), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms of Service apply to all users of the site and any storefront properties, including without limitation users who are browsers, vendors, members, customers, merchants, and/ or contributors of content.
Please read these Terms of Service carefully before accessing or using our website. By accessing or using any part of the site, you agree to be bound by these Terms of Service. If you do not agree to all the terms and conditions of this agreement, then you may not access the website or use any services. If these Terms of Service are considered an offer, acceptance is expressly limited to these Terms of Service.
Any new features or tools which are added to the current website shall also be subject to the Terms of Service. We reserve the right to update, change or replace any part of these Terms of Service by posting updates and/or changes to our website. Our store is hosted on Shopify Inc. They provide us with the online platform that allows us to offer our services to you.
SECTION 1 - SERVICES TERMS
By agreeing to these Terms of Service, you represent that you are at least the age of majority in your state or province of residence, or that you are the age of majority in your state or province of residence and you have given us your consent to allow any of your minor dependents to use this site.
You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). If at any time you feel like our Service is putting you at risk in any way, it is your responsibility to notify Dibz Inc. immediately and discontinue us of our services
You must not transmit any worms or viruses or any code of a destructive nature.
A breach or violation of any of the Terms will result in an immediate termination of your Services.
SECTION 2 - GENERAL CONDITIONS
We reserve the right to refuse service to anyone for any reason at any time.
You understand that your content (not including credit card or banking information), may be transferred unencrypted and involve (a) transmissions over various networks; and (b) changes to conform and adapt to technical requirements of connecting networks or devices. Credit card and banking information is always encrypted during transfer over networks.
You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Service, use of the Service, or access to the Service or any contact on the website through which the service is provided, without express written permission by us.
The headings used in this agreement are included for convenience only and will not limit or otherwise affect these Terms.
SECTION 3 - ACCURACY, COMPLETENESS AND TIMELINESS OF INFORMATION
We are not responsible if information made available on this site is not accurate, complete or current. The material on this site is provided for general information only and should not be relied upon or used as the sole basis for making decisions without consulting primary, more accurate, more complete or more timely sources of information. Any reliance on the material on this site is at your own risk.
This site may contain certain historical information. Historical information, necessarily, is not current and is provided for your reference only. We reserve the right to modify the contents of this site at any time, but we have no obligation to update any information on our site. You agree that it is your responsibility to monitor changes to our site.

Prices for our service are subject to change without notice.
We reserve the right at any time to modify, upgrade or discontinue the Service (or any part or content thereof) without notice at any time.
We shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.
SECTION 5 - SERVICES (if applicable)
We reserve the right, but are not obligated, to limit the sales of our Service to any person, geographic region or jurisdiction. We may exercise this right on a case-by-case basis. We reserve the right to limit the quantities accepted of any products stored in our facilities. All descriptions of Services or Service pricing are subject to chance at any time without notice, at the sole discretion of us. We reserve the right to discontinue any service at any time. We do not warrant that the quality of any services or information of material obtained by you will meet your expectations, or that any errors in the Service will be corrected.
We reserve the right to charge late fees on any item deemed abandoned or stored longer than 72 hours. We will consider a product abandoned if it is not collected by the buyer or seller prior to 30 days after being dropped off at any Dibz facility.
SECTION 6 - ACCURACY OF BILLING AND ACCOUNT INFORMATION
We reserve the right to refuse any exchange you place with us. We may, in our sole discretion, limit or cancel quantities being exchanged per person. These restrictions may include exchanges placed by or under the same customer account, the same banking account, credit card, and/or transactions that use the same billing and/or shipping address. In the event that we make a change to or cancel an exchange, we may attempt to notify you by contacting the e‑mail and/or billing address/phone number provided at the time the exchange was made.
We reserve the right to limit or prohibit exchanges that, in our sole judgment, appear to be placed by wholesalers, dealers, resellers or distributors operating under a personal account.
You agree to provide current, complete and accurate account information for all exchanges made through any Dibz site or location. You agree to promptly update your account and other information, including your email address, banking information and credit card numbers and expiration dates, so that we can complete your exchanges and contact you as needed.
SECTION 7 - OPTIONAL TOOLS
We may provide you with access to third-party tools over which we neither monitor nor have any control nor input.
You acknowledge and agree that we provide access to such tools ”as is” and “as available” without any warranties, representations or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.
Any use by you of optional tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new services and/or features through the website (including, the release of new tools and resources). Such new features and/or services shall also be subject to these Terms of Service.

Certain content, products and services available via our Service may include materials from third-parties.

We are not liable for any harm or damages related to the purchase or use of goods, services, resources, content, or any other transactions made in connection with any third-party websites. Complaints, claims, concerns, or questions regarding third-party products should be directed to the third-party.

If, at our request, you send certain specific submissions (for example contest entries) or without a request from us you send creative ideas, suggestions, proposals, plans, or other materials, whether online, by email, by postal mail, or otherwise (collectively, 'comments'), you agree that we may, at any time, without restriction, edit, copy, publish, distribute, translate and otherwise use in any medium any comments that you forward to us. We are and shall be under no obligation (1) to maintain any comments in confidence; (2) to pay compensation for any comments; or (3) to respond to any comments.
We may, but have no obligation to, monitor, edit or remove content that we determine in our sole discretion are unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable or violates any party’s intellectual property or these Terms of Service.
You agree that your comments will not violate any right of any third-party, including copyright, trademark, privacy, personality or other personal or proprietary right. You further agree that your comments will not contain libelous or otherwise unlawful, abusive or obscene material, or contain any computer virus or other malware that could in any way affect the operation of the Service or any related website. You may not use a false e‑mail address, pretend to be someone other than yourself, or otherwise mislead us or third-parties as to the origin of any comments. You are solely responsible for any comments you make and their accuracy. We take no responsibility and assume no liability for any comments posted by you or any third-party.

No specified update or refresh date applied in the Service or on any related website, should be taken to indicate that all information in the Service or on any related website has been modified or updated.

In no case shall Dibz Inc, our directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim, or any direct, indirect, incidental, punitive, special, or consequential damages of any kind, including, without limitation lost profits, lost revenue, lost savings, loss of data, replacement costs, or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from your use of any of the service or any products procured using the service, or for any other claim related in any way to your use of the service or any exchange, including, but not limited to, any errors or omissions in any content, or any loss or damage of any kind incurred as a result of the use of the service or any content (or product) posted, transmitted, or otherwise made available via the service, even if advised of their possibility. Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, our liability shall be limited to the maximum extent permitted by law.
SECTION 14 - INDEMNIFICATION
You agree to indemnify, defend and hold harmless Dibz Inc and our parent, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns and employees, harmless from any claim or demand, including reasonable attorneys’ fees, made by any third-party due to or arising out of your breach of these Terms of Service or the documents they incorporate by reference, or your violation of any law or the rights of a third-party.
SECTION 15 - SEVERABILITY
In the event that any provision of these Terms of Service is determined to be unlawful, void or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed to be severed from these Terms of Service, such determination shall not affect the validity and enforceability of any other remaining provisions.
SECTION 16 - TERMINATION
The obligations and liabilities of the parties incurred prior to the termination date shall survive the termination of this agreement for all purposes.
These Terms of Service are effective unless and until terminated by us or you.
If in our sole judgment you fail, or we suspect that you have failed, to comply with any term or provision of these Terms of Service, we also may terminate this agreement at any time without notice and you will remain liable for all amounts due up to and including the date of termination; and/or accordingly may deny you access to our Services (or any part thereof).
SECTION 17 - ENTIRE AGREEMENT
The failure of us to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.
These Terms of Service and any policies or operating rules posted by us on this site or in respect to The Service constitutes the entire agreement and understanding between you and us and govern your use of the Service, superseding any prior or contemporaneous agreements, communications and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).
Any ambiguities in the interpretation of these Terms of Service shall not be construed against the drafting party.

Personal information we collect

- When in line with the preferences you have shared with us, provide you with information or advertising relating to our services.
- Track membership details regarding products and items exchanged.
We use the Device Information that we collect to help us screen for potential risk and fraud (in particular, your IP address), and more generally to improve and optimize our Site (for example, by generating analytics about how our customers browse and interact with the Site, and to assess the success of our marketing and advertising campaigns).
Sharing your personal Information
We share your Personal Information with third parties to help us use your Personal Information, as described above. Every day, thousands of individuals in our local communities are buying, selling & trading their personal goods locally and on the social marketplace. We exist to bridge the gap between buyer & seller, providing a safe & convenient system for the exchange. Officially, Dibz, Inc is an exchange and payment processing facility that handles the distribution of items between two parties.
SECTION 01 - EXCHANGE REQUIREMENTS
We require a valid legal form of identification for every transaction handled at any Dibz facility. All items must be registered through the Dibz website prior to drop off.
SECTION 02 - PAYMENT PROCESSING
Dibz accepts in-person payments in the form of cash or card. Payout service is only offered for sellers who are Dibz members. If a buyer registers an item for pickup through their Dibz account, they will not have the option to process their item payment through Dibz.
SECTION 03 - PROCESSING FEES
All exchange related fees made at Dibz are subject to a 5% processing fee (5-cents per dollar). This amount will be deducted from your final payout.
SECTION 04 - PAYOUTS
Dibz members will have the option to receive the monetary amount that was collected on their behalf in payout form of cash or direct deposit. This option must be determined when an item is registered.
SECTION 05 - LIABILITY
Please consider our Liability Policy before using our Services. We are not responsible for the condition of any item that enters or leaves our facilities. We do not check the functionality of any item being exchanged, including electronic devices.
Items are not inspected upon delivery unless reasonable suspicion exists. We reserve the right to notify authorities of any suspected suspicious activity involving an exchange. At our discretion, we reserve the right to decline any item being brought in for an exchange.
We are not responsible for any illegal activity that could potentially be taking place, such as theft, drug trafficking, etc, during exchange or AFTER exchange. You are responsible for any unauthorized use of your account due to negligence, theft, sharing or piracy.
If proven damage or theft occurs while an item is being stored at a Dibz Inc. facility, we will assume coverage for losses up to $100 USD. When applicable, items will be assessed based on the dollar value placed on the item when it was registered for an exchange with Dibz Inc.
SECTION 06 - SELLER/BUYER AGREEMENT
Dibz Inc. is not responsible for any arrangement made between a buyer and seller. All dollar values agreed upon for items being exchanged are between buyers and sellers. At no time is Dibz Inc. responsible for the agreed upon dollar value of an item.
SECTION 07 - REFUNDS
Dibz will not issue a refund on any item. All disputes will need to be handled between the buyers and sellers. Dibz relinquishes all responsibility of an item once a buyer or seller takes possession.
Buyers are given an opportunity to refuse an item prior to leaving the store. See Refusal Policy.
All membership refunds will be considered on a case-by-case basis, subject to management discretion. Contact us for any return inquiries at firstname.lastname@example.org.
SECTION 08 - REFUSALS
All buyers have the right of refusal for items being exchanged at Dibz. If an item is not what you expected (condition, description, etc), you can decline to accept it.
Recipients forfeit the right of refusal after a transaction has been completed and the item(s) is in their possession. Sellers will be notified of refusals within 24 hours or less. See the Retrievals section for our policy on returning items to the seller.
SECTION 09 - RETRIEVALS
Buyer’s retrieval time frame is defined as the remainder of the original dropoff date of an item plus two additional business days.
Seller’s retrieval time frame is defined as the remainder of the refusal date plus two additional business days. It is the Seller’s responsibility to keep up with all refusals and retrieve their items within the allotted time frame.
SECTION 10 - LATE PICKUPS
If a buyer arrives after the initial retrieval time frame but before the seller has returned to retrieve the item, late fees will be assessed in the amount of $1 per day past the deadline date. This applies to a situation where both the buyer and seller have agreed to proceed with the exchange, even though the initial retrieval time frame has lapsed.
SECTION 11 - ABANDONMENT / REPOSSESSION
If an item is not picked up by the buyer, we will notify the seller and instruct them to retrieve their item. If the seller does not retrieve an item within 30 days, Dibz Inc. reserves the right to take possession of the item, whether for resale, disposal or other usage. Delinquent items may be subject to late fees. Amount will be assessed on a case-by-case basis.
SECTION 12 - TAX AND FEES
Any person or persons using Dibz is responsible for their personal sales tax obligations. This includes collection or remittance of taxes related to items exchanged through any Dibz location.
SECTION 13 - OVERSIZED ITEMS
Items stored at Dibz should be able to be easily carried by one person through a single, standard-sized 32” door. Anything that does not meet this criteria is considered oversized.
SECTION 14 - PERISHABLE ITEMS
All items exchanged through Dibz are stored at room temperature. We currently do not offer storage for items that require refrigeration or freezing. We also cannot accept items that are not shelf-stable beyond 3 days.
SECTION 15 - BULK ITEMS
Bulk items must be pre-registered through the website prior to drop off, and must also abide by our fair usage policy.
SECTION 16 - FUNDRAISERS
Fundraiser items will be accepted on a case-by-case basis and must be scheduled in advance. Contact us with your item details for review. Approval is subject to staffing & space availability. IF accepted all fundraiser items must be prepaid and pre-registered prior to dropoff.
SECTION 17 - POWERED DEVICES
By submitting an exchange of an electronic device or an electric powered item, you agree that the buyer has the option to test the product prior to taking possession of the item and that Dibz Inc. may provide the electrical power source and will not be held liable for any item not working or powering on correctly.
SECTION 00 - MEMBERSHIP ACCOUNTS
We define an Individual membership as a person that sells personal items or buys for personal use only. Individual memberships are currently billed at a rate of $10 per month. Individual memberships can be activated immediately by filling out a simple subscription form.
We define an Entrepreneur membership as anything beyond average, personal use. Entrepreneur memberships are currently billed at a starting rate of $25 per month. Entrepreneurs will need to submit an application for service. We will promptly review and negotiate an on-going rate according to their needs. When assessing each application, the volume and size of items being exchanged will be taken into consideration to determine the monthly rate.
For security purposes, Dibz will not create membership accounts on a user’s behalf. All membership sign-ups must be initiated via the website and activated prior to using our service.
SECTION 01 - MEMBERSHIP PAYMENT PROCESS
Membership fees will be processed monthly via ACH bank draft. Each month, until a membership is permanently cancelled, a bank draft will be initiated on or near the same date you originally signed up to become a member. Example: If you signed up to become a member on the 25th, your bank account will be automatically debited each month on or near the 25th.
SECTION 02 - DECLINED ACH TRANSACTIONS
Any declined ACH bank draft attempt will be subject to a $25 insufficient funds fee. We will attempt to collect the insufficient funds fee during our next billing attempt.
After two failed consecutive attempts at collecting the monthly membership fee, a membership account will be considered inactive and unable to create new exchanges. Accounts may be reactivated once all past due amounts have been reconciled.
Dibz reserves the right to implement a Fair Usage Policy to ensure that every Dibz user can have the best experience using our exchange and payment processing service. This means we will monitor your account and exchange usage. If you go beyond or abuse what we determine is your fair-use limit, we can limit your exchanges or increase your monthly membership fee.
By purchasing a Dibz membership, you are agreeing to our Fair Usage Policy, determined by your current membership level. The following are guidelines for the determination of fair usage, however, all final decisions are subject to management discretion.
Individual memberships will be allowed up to 15 unique exchanges per month. If this amount is exceeded over the course of 2 or more consecutive months, the account will be evaluated to determine if it needs to be upgraded to an Entrepreneur account. If determined that an upgrade is needed, the member will be given a 30 day notice prior to any account changes.
Entrepreneur accounts will be evaluated on a case-by-case basis to determine an agreed upon monthly amount. Monthly membership fees will be based on volume and size of items being exchanged. If at any time the size or volume of items being exchanged differs from the original agreement, the account may be reevaluated and the monthly fee reassessed.
Changes to Individual or Entrepreneur membership accounts will be at the sole discretion of Dibz Inc.
SECTION 04 - EDITING ACCOUNT INFORMATION
For tracking purposes, all account edit requests are required to be submitted through your verified Dibz account. All revisions to the account will be manually updated by a Dibz Inc. team member after receiving your digital request. Due to limited access of employees, no in person account edits will be accepted.
SECTION 05 - TERMS OF COMMITMENT
All memberships are subject to a 12-month minimum agreement from sign up. After 12 months, a membership may be cancelled, at any time.
SECTION 06 - ALTERNATE ACCOUNT USER
We allow one alternate user per account. The alternate user will be allowed to collect payouts and perform dropoffs and pickups on behalf of the primary account holder. This person must be listed within the account prior to arrival at Dibz for service.
SECTION 07 - CANCELLATIONS
Memberships must be cancelled in-person at a Dibz Inc. location and a valid form of ID must be presented.
